International Corporate Advisor (Holding Structuring)

About the role:
We are looking for an international corporate lawyer to design and maintain the legal structure of a multi-jurisdiction holding group.
You will work directly with the owners and top management.

Responsibilities
Design and support holding structures: parent, subsidiary and intermediate entities; allocation of assets and IP across jurisdictions
Incorporate, restructure and liquidate companies in offshore and onshore jurisdictions
Coordinate local counsel and corporate service providers
Advise on substance requirements, double tax treaties, KYC/AML
Support franchise, exchange and exchanger-related business lines
Advise senior leadership on structural and corporate risks

Requirements
Proven experience structuring international holdings
Hands-on experience with Hong Kong, Asia, Malta, Cyprus and EU jurisdictions
Strong understanding of international tax and corporate law
Ukrainian/Russian, professional English
Comfortable working directly with C-level executives and owners

Nice to have: background in a law firm or Big Four tax practice; experience with exchanges, exchangers or franchise models.
